GÖRG has provided legal advice to the sole shareholder and managing director of Hanau-based NCD Ingredients GmbH, on the sale of his shares to the Barentz Group. He will continue with Barentz as managing director, ensuring seamless integration of the Barentz Personal Care division in the DACH region.
NCD is a renowned distributor of specialty personal care and home care ingredients active in Germany, Austria, and Switzerland (DACH). By acquiring NCD, Barentz aims to expand its operations in the DACH region.

The Company sources branded specialty ingredients from leading manufacturers worldwide and its ingredient experts provide value-added technical support which includes pre-mixing, blending, ingredient formulation and ingredient testing from its state-of-the-art, customised formulation centres and application laboratories in EMEA, Americas and Asia-Pacific. Established in 1953 in the Netherlands, Barentz has operations in over 70 countries worldwide. With a turnover of approximately €2.4 billion, Barentz employs around 2,700 people and serves over 27,000 customers.
GÖRG provided legal and tax advice on the transaction to seller, with a team led by Frankfurt partners Markus Beyer and Taro W. Stenger. The advice included inter alia structuring the transaction, carving out a participation, and providing guidance through every step of the negotiations.
