GÖRG advised s.i.g. Holding AG, Neu-Ulm, on the sale of s.i.g. System Informations Gesellschaft mbH to Bechtle Systemhaus Holding AG, Germany's largest IT system house. The transaction will take place after approval by the cartel authorities. The parties have agreed not to disclose the purchase price.
By selling the company, s.i.g. is settling the succession issue in the management and, as part of Germany's largest IT system house, expects improved opportunities for gaining further market share and expanding its own portfolio. The founder and previous managing director, Guido Fetzer, and the co-managing director, Eugen Straub, will initially remain with the company in order to continue the continuity of customer care together with the management team. The company name s.i.g. will remain unchanged for the time being.
With this acquisition, Bechtle aims to strengthen its market position in the economic region around Ulm and expand its portfolio with specific ‘Industrial IT’, i.e. targeted contract manufacturing of IT infrastructure and networks in the production environment. Bechtle is currently building a new location on the future IT campus in the immediate vicinity of the Neu-Ulm University of Applied Sciences, which is scheduled for completion at the beginning of 2026. In addition to the three regionally active companies of the Bechtle Group, the integration of SIG into the Bechtle IT future hubs is now also planned. Bechtle was founded in 1983 and today, with over 15,000 employees, operates more than 100 IT system houses and subsidiaries in 14 European countries.
s.i.g. System Informations Gesellschaft mbH, founded in 1997, has its headquarters in Neu-Ulm and maintains two further locations in Erfurt and Jena. All locations are to remain in the future. The company generated a turnover of 25.4 million euros in the past financial year and employs around 50 people. Its customers include medium-sized companies as well as global players, public administration and the health sector.
GÖRG provided comprehensive advice to s.i.g. Holding AG with a team led by partner and corporate law expert Dr Stefan Heyder. The focus was on structuring the transaction, supporting the due diligence, preparing the transaction documents and, above all, legally negotiating the transaction in all relevant areas of law, including antitrust law.
