GÖRG has advised the Zeitfracht Group on the sale of Adler Modemärkte GmbH to R. Eagle Holding GmbH, a company of the Röther Group. The parties have agreed not to disclose the terms of the transaction. Following approval by the relevant antitrust authorities, the transaction has now been completed.
Zeitfracht Logistik Holding GmbH had already taken over Adler Modemärkte in 2021 with the support of GÖRG and a team led by partner Claus Christopher Schiller as part of insolvency proceedings. As part of a structured sales process, Zeitfracht was able to assert itself as an investor and successfully restructure Adler Modemärkte despite difficult market conditions.
According to the Röther Group, a medium-sized fashion chain based in Michelfeld, Baden-Württemberg, the acquisition of Adler Modemärkte represents a decisive step in the expansion of its store network. The Adler shops in Germany, Austria, Switzerland and Luxembourg will continue to operate under the established Adler brand. The Röther Group currently owns the Modepark Röther retail chain with 51 locations and more than 2,500 employees. Recently, the Röther Group also acquired several brands from the insolvent Ahlers Group.
The GÖRG team led by Claus Christopher Schiller advised Zeitfracht on all legal aspects of the transaction. It underlines the long-standing partnership between GÖRG and Zeitfracht, in particular in advising on complex M&A transactions.
