[Cologne, ] GÖRG Partnerschaft von Rechtsanwälten mbB has successfully advised the Talanx Group on its acquisition of the three wind farms Dalwitz (in Mecklenburg-West Pomerania), Sandstruth and Vier Fichten (both in Hesse). The Dalwitz wind farm consists of nine Enercon E-101 wind turbines, each with a rated power of three megawatts. The Sandstruth and Vier Fichten wind farms each have five Vestas V 112 wind turbines, each of which has a rated power of three megawatts. The wind farms were acquired from the wpd Group, which was also responsible for planning and erecting them. The wind farms were purchased through the acquisition of shares in the respective operating companies.
GÖRG provided Talanx with advice on a broad range of legal issues relating to the transaction. GÖRG's team of lawyers was made up of Dr. Ruth Büchl-Winter (Corporate/Tax), Dr. Carmen Schneider (Grid Connection/EEG), Jan Schellenberger (Project Agreements) and Dr. Thomas Lange (Finance). Thoralf Herbold headed the team; in addition, he advised on real estate law issues as well as regulatory aspects of the deal. Isabell Menn, Dr. Sergio Binkowski and Dr. Christoph Mönig were also involved in handling the real estate law issues confronting the acquiror. Dr. Christian Bürger dealt with the merger control requirements and assisted in obtaining the necessary clearance.
