Berlin-based GÖRG partner Prof. Dr. Torsten Martini, insolvency administrator of Gestalt Robotics GmbH, has successfully sold the business operations of the Berlin-based company, including all current employees, as part of an M&A process. The employees and projects will be continued by Gestalt Robotics, now under the umbrella of the holding company INDUS Holding AG.
Following Gestalt Robotics GmbH's application to the competent Charlottenburg district court to open insolvency proceedings for its own assets, Prof. Dr Torsten Martini was appointed provisional insolvency administrator by resolution dated 23 November 2023. Together with his colleague Nico Reisener, he continued business operations and Gestalt Robotics was able to continue servicing the existing projects.
Founded in Berlin in 2016, the technology company develops automation solutions for its customers' individual applications based on AI innovations. Its area of expertise covers AI-based image processing, intelligent robotics, autonomous mobility and adaptive worker assistance systems. The company is now expanding the INDUS portfolio in the Engineering segment; Thomas Staufenbiel and Prof. Dr Jens Lambrecht, co-founder and Managing Director of Gestalt Robotics, will continue to manage the company.
Gestalt Robotics had 69 employees at the time of the application to open insolvency proceedings and was in charge of several projects and development phases for well-known companies. Under the leadership of Prof. Dr. Torsten Martini, it was possible to create trust for the continuation of operations and stabilise business operations through comprehensive communication with both employees and customers. Together with Gestalt Robotics, the decision was made to work with Saxenhammer & Co. Corporate Finance GmbH and to seek support as part of an M&A process. An agreement was reached with a suitable interested party for the continuation of business operations and the subsequent takeover.
Insolvency proceedings were opened on 1 February 2024 and Prof. Dr. Torsten Martini was appointed as insolvency administrator. With the support of the interested party, INDUS Holding AG, it was possible to continue business operations during the ongoing proceedings with the aim of a transferring reorganisation. This was successfully completed on 8 March 2024, with all jobs being retained and the forward-looking projects now being continued under the umbrella of INDUS Holding AG. Despite the sometimes difficult circumstances, the insolvency administrator was able, not least thanks to the support of Saxenhammer & Co. Corporate Finance GmbH, the insolvency administrator succeeded in reorganising and transferring the entire business operations.
