GÖRG advises on the sale of St. Josefs-Verein's social facilities

GÖRG has advised the insolvency administrator of St. Josefs-Verein e. V., Dr Max Liebig from the law firm of the same name, on the transfer of two social facilities in the heart of Munich. As a result of the transfer, around 100 employees were taken over and all of the 170 care places were retained.

After intensive efforts in the insolvency proceedings, which were characterised by numerous legal and factual challenges, it was possible to conclude purchase and transfer agreements as well as long-term rental agreements with two non-profit subsidiaries of the VFS Vielfalt.Fördern.Stiften foundation. On 1 September, ‘servusKiDS gGmbH’ will take over the operations of the children's home and the curative daycare centre and ‘Gesellschaft für Soziale Arbeit. München gGmbH’ will take over the operations of the curative education centre for children and young people, including its branch in Purk. Both takeovers are non-profit organisations of the VFS Foundation, which operates as an independent social service provider for children, young people and families in the greater Munich area.

This means that all of St. Josefs-Verein's childcare places will remain in place beyond the end of August. All employees will also be taken on. By concluding long-term rental agreements with the new providers, it has been ensured that the social facilities will remain in their usual premises despite the pending sale of the association's properties during the insolvency proceedings. The tenancy agreements will be taken over by a future owner.

In addition to providing legal support for the M&A process, in particular the drafting of the purchase agreements, the GÖRG team, led by Hamburg partner Dr Karl-Friedrich Curtze, provided comprehensive advice, particularly in the areas of insolvency and real estate law as well as on social law issues.
