Under the lead of Dr. Michael Dolfen, GÖRG Partnerschaft von Rechtsanwälten mbB has advised BWK GmbH Unternehmensbeteiligungsgesellschaft (BWK), Stuttgart, as well as the founding shareholders (Founders) on the sale of all shares held in BKtel-Group to Huber + Suhner AG, Switzerland. Subject to the clearance by the German Federal Cartel Office (Bundeskartellamt) the transaction is envisaged to be completed in December 2019.
BKtel-Group was founded in 1997 in the course of a Managements-Buy-Out (MBO) by former employees of Alcatel-Group. The Founders together held the majority of the shares in BKtel-Group, whereas approx. 49% of the shares were held in BWK’s portfolio since 2007.
BKtel-Group with its locations in Hückelhoven, Kornwestheim and Rosenheim as well as majority shareholdings in subsidiaries in France and Japan has specialized in the development, manufacturing and distribution of transmission components and systems for communication networks. The group particularly has strong know-how in the fields of fiber-to-the-home (FTTH), Hybrid Fiber Coax (HFC) and Distributed Access Architecture (DAA) as well as in optical signal processing (optical converters, amplifiers and fiber lasers).
The group’s prodcuts are particularly used in broadband communication with a focus in cable-TV-networks and fibre optic. Customers include cable network operators, system integrators and international OEMs. Overall, BKtel-Group employs around 150 employees and has an annual turnover of approximately EUR 40 million.
