GÖRG Partnerschaft von Rechtsanwälten mbB advised MDAX-listed Encavis AG on the purchase of a 17-megawatt wind farm in the municipality of Sommerland in Schleswig-Holstein. The seller is BayWa r.e. Wind GmbH.
The wind farm in Sommerland is expected to generate an average of around 53 gigawatt hours (GWh) of electricity annually. Commissioning will take place in the next few weeks and the economic transfer to Encavis has been agreed for 1 January 2024.
The wind farm was acquired by way of a share deal. A GÖRG team led by partner Thoralf Herbold structured the purchase process for Encavis and advised on all legal issues in the context of the successful transaction. In addition to energy law expertise, the advice also included corporate law aspects as well as the structuring, negotiation and finalisation of a general transfer agreement and the technical and commercial management agreements.
GÖRG regularly advises operators of solar and wind energy parks on the acquisition and sale of plants as well as project developers on the realisation of energy production and storage systems.
