Under the lead of Frankfurt partner Florian Wolff, GÖRG advised Ningbo Huaxiang Electronic Co., Ltd. (“NBHX”) on the sale of NBHX Trim Europe, a leader in high-quality interior vehicle trim, to Mutares SE & Co. KGaA (“Mutares”).
Founded in 1988, NBHX Trim Europe develops and produces decorative components for automobiles. Its customers include well-known car manufacturers from Germany, Japan and Sweden. In FY 2024, NBHX Trim Europe employed around 2,000 people. Based in Bruchsal, Germany, NBHX Trim Europe also owns and operates production facilities in the United Kingdom and Romania. NBHX Trim Europe previously belonged to Ningbo Lawrence Automotive Interiors Co, Ltd, a subsidiary of NBHX.
Based in Munich, Mutares is a listed private equity firm that acquires medium-sized companies and corporate spin-offs with the aim of restructuring and subsequently reselling them. Mutares acquires NBHX Trim Europe as an add-on acquisition to expand its global presence in the interior applications segment.
The transaction is expected to close in Q2 2025, subject to receipt of certain regulatory approvals in particular from the Chinese government, the Board of Directors and the shareholders of NBHX.
GÖRG advised NBHX on all legal aspects of the transaction, in particular the negotiation of the share purchase agreement and advice on FDI and merger control.
