GÖRG advises Foundation of Cellitinnen e.V. on the acquisition of the St. Hildegardis Hospital in Cologne from the Order of the Maltese

GÖRG Partnerschaft von Rechtsanwälten mbB, led by its partners Dr. Jörg Bornheimer and Dr. Alexander Kessler, advised the Foundation of Cellitinnen e.V. on all aspects of the complex transaction in connection with the acquisition of the Malteser Hospital St. Hildegardis, including the associated real estate and shareholdings. The purchaser of the hospital is the Augustinerinnen Köln gGmbH hospital, which belongs to the Cellitinnen Group.

St. Hildegardis Hospital has around 230 beds and employs around 520 staff. The parties have agreed not to disclose the purchase price. The execution of the contract is subject to the usual conditions for a transaction of this kind. It is planned to complete the takeover of the hospital by Cellitinnen in late summer 2020.

The transaction again underlines the M&A activities and competencies of the firm, especially in the area of Healthcare & Life Sciences.

About Foundation of Cellitinnen e.V.

The Cologne-based Catholic Foundation of the Cellite Sisters is a registered charitable association (e.V.) which emerged from the Cooperative of the Cellite Sisters according to the Rule of St. Augustine, after the religious community of the Cellite Sisters had placed their charitable works into secular hands.
To date, four somatic hospitals as well as a specialist clinic for psychiatry belong to the Foundation of the Cellitinnen e.V. Furthermore, the range of services includes two medical supply centres, fourteen geriatric care and nursing facilities with over a thousand places, an outpatient nursing service, a service company and a day care centre for children. One of these hospitals, the Augustinerinnen hospital Severinsklösterchen, is operated by the Augustinerinnen Cologne gGmbH hospital which is a wholly owned subsidiary of the Foundation of Cellitinnen e.V. and now also houses the St. Hildegardis Hospital.
